Partner Program Terms and Conditions

1. Scope and Purpose

These Partner Program Terms and Conditions ("Terms") govern participation in the img2text.net affiliate/partner program ("Program"). By registering for the Program, you ("Partner") agree to be bound by these Terms.

The Program enables Partners to earn commissions by referring new customers to img2text.net through personalized referral links.

2. Registration and Eligibility

To participate in the Program, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Provide accurate and complete registration information
• Have a valid website, blog, social media presence, or other digital platform
• Agree to these Terms and our general Terms of Service and Privacy Policy

We reserve the right to accept or reject any application at our sole discretion. Approval of your application does not guarantee continued participation in the Program.

3. Commission Structure

Partners earn commissions based on the following terms:

• Commission rates are determined by the current Program settings and may vary by product or promotion
• Commissions are calculated on the net purchase amount (excluding taxes and refunds)
• For subscription products, commissions may be paid on initial purchases and/or recurring payments as specified in the Program dashboard

We reserve the right to modify commission rates with 30 days notice. Changes will be communicated via email and displayed in your Partner dashboard.

4. Payment Terms

Commission payments are subject to the following conditions:

• Minimum payout threshold: Commissions must reach the minimum threshold (displayed in your dashboard) before payment can be requested
• Payment method: Payments are made via PayPal or bank transfer as configured in your account settings
• Payment schedule: Payouts are processed within 14 business days after approval
• Holding period: Commissions are held for a minimum of 30 days after the referred transaction to allow for refund processing

Partners are responsible for any taxes applicable to commission payments in their jurisdiction. We may request tax documentation (e.g., W-9 for US partners) before processing payments.

5. Tracking and Attribution

Referrals are tracked using cookies and other technologies:

• Cookie duration: Referral cookies remain active for 30 days from the initial click
• Attribution: The last affiliate link clicked before purchase receives the commission credit
• Self-referrals: Using your own referral link for personal purchases is prohibited

6. Promotional Guidelines

Partners may promote img2text.net through various channels, subject to the following rules:

Permitted Activities:

• Honest reviews and recommendations on websites, blogs, and social media
• Email marketing to your own opted-in subscriber lists
• YouTube videos, podcasts, and other content creation
• Paid advertising (excluding brand bidding - see below)

Prohibited Activities:

• Bidding on "img2text" or similar branded keywords in paid search advertising
• Spam, unsolicited emails, or any form of intrusive advertising
• False or misleading claims about img2text.net products or services
• Cookie stuffing, forced clicks, or other fraudulent referral methods
• Promoting on websites containing illegal, adult, violent, or discriminatory content

7. Trademark and Brand Usage

Partners may use the img2text.net name and approved marketing materials solely for Program participation. You may not:

• Register domain names containing "img2text" or confusingly similar variations
• Modify, distort, or misrepresent our trademarks or marketing materials
• Use our branding in a way that implies endorsement or partnership beyond the affiliate relationship

8. Limitation of Liability

The Program is provided "as is" without warranties of any kind. We are not liable for:

• Technical issues affecting tracking or commission attribution
• Lost commissions due to customer refunds, chargebacks, or fraud
• Any indirect, incidental, or consequential damages arising from Program participation

Our total liability shall not exceed the total commissions earned by the Partner in the 12 months preceding any claim.

9. Termination

Either party may terminate participation in the Program at any time. We may immediately terminate your participation for:

• Violation of these Terms or any applicable laws
• Fraudulent or abusive behavior
• Inactivity for more than 12 consecutive months
• Any conduct that harms the reputation of img2text.net

Upon termination, unpaid commissions above the minimum threshold will be paid within 60 days, provided no Terms violations occurred. Commissions earned through fraudulent means will be forfeited.

10. Data Protection

We process Partner personal data in accordance with our Privacy Policy. This includes contact information, payment details, and performance metrics necessary for Program administration.

Partners must comply with all applicable data protection laws (including GDPR where applicable) when conducting promotional activities.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued participation in the Program after changes become effective constitutes acceptance of the modified Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Germany.

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
